The report explores how boards can remain “fit for purpose,” especially in the face of rapidly evolving technologies, heightened stakeholder expectations, and complex risks such as cybersecurity and ESG scrutiny. A key theme throughout is the need for boards to realign their priorities—shifting from compliance-heavy agendas to a clearer focus on purpose, strategy, and execution.
One of the most compelling insights is the launch of the DRIVE Framework, a fresh approach to evaluating individual director effectiveness. It assesses directors across five critical dimensions: Direction, Relationships, Insight, Values, and Execution. This framework, grounded in more than 24,000 comments from peer evaluations, moves beyond technical skill and highlights the importance of boardroom behaviour and influence.
The report also tackles common dysfunctions within boards, noting that 1 in 4 boards exhibit signs of underperformance due to poor dynamics, lack of clarity on roles, or inadequate succession planning. It offers practical solutions—from strengthening chair leadership to embedding diversity and fostering open, feedback-driven cultures.
Topical essays in the report address how boards should govern AI and emerging technologies, with recommendations to create policies, assign oversight, and develop AI literacy among directors. Additionally, it examines the ESG “identity crisis” in many boardrooms, suggesting clearer frameworks for defining material risks and aligning ESG initiatives with organisational strategy.
